Terms of Service

1. About Us

These Terms of Service ("Terms") govern use of www.ardesigntech.com and all services and platforms provided by AR Design Tech Ltd. ("AR Design Tech", "we", "us", "our"), an AI technology company incorporated in Ontario, Canada, operating from Markham, Ontario. Our platforms include ARSweet (arsweet.com), 8DInvest (8dinvest.com), and other AI-powered SaaS and PaaS products.

2. Services

AR Design Tech provides AI-powered SaaS and PaaS platforms and services, including:

• ARSweet Platform: Etsy and Shopify shop setup, AI listings, SEO, print-on-demand fulfilment, and ongoing management
• 8DInvest Platform: Global multi-asset investment intelligence, simulation, and market data services
• Shop automation — orders, reviews, inventory, and customer messaging
• AI-generated product listings, SEO optimisation, and keyword strategy
• Social media promotion and digital marketing guidance
• Other AI-powered platforms and services as announced (BZone.ca, HerbsData.com, ArtDesignHub.com)

Specific deliverables, timelines, and fees are confirmed in a written proposal, agreement, or Statement of Work ("SOW") between the parties. Platform-specific terms may supplement these Terms where applicable.

3. Engagement & Agreements

• Written agreement: Work commences only after a written proposal or SOW is accepted and any required deposit is received.
• Client responsibilities: You must provide timely access to your Etsy/Shopify accounts, design files, and approvals as needed for service delivery.
• Scope changes: Any additions to agreed scope must be documented in writing and may affect fees and timelines.
• Platform compliance: You are responsible for ensuring your shop complies with Etsy's and Shopify's terms of service. We will flag potential issues but cannot guarantee platform compliance on your behalf.

4. Fees & Payment

• Currency: All fees are in Canadian Dollars (CAD) unless otherwise agreed in writing.
• Setup fees: One-time setup fees are due before work commences. Typical deposit is 50% of the setup fee.
• Monthly fees: Billed at the start of each month. Invoices are payable within 14 days.
• Late payment: Accounts more than 14 days overdue may result in service suspension.
• Third-party costs: Etsy listing fees, Shopify subscription, POD production costs, and ad spend are separate and billed directly to you or reimbursed at cost.

5. Intellectual Property

Your designs: You retain all rights to your original designs, artwork, and product concepts. By engaging us, you grant AR Design Tech a limited licence to use your materials solely for delivering the agreed services.

Our work product: Upon receipt of full payment, AR Design Tech assigns to you the rights to AI-generated listings, copy, and shop setup work created specifically for your engagement.

AR Design Tech retains: All pre-existing tools, methodologies, AI workflows, and templates used to deliver services. We may reference completed work in our portfolio unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement. This applies to your designs, business strategy, and account credentials, and to our proprietary tools and pricing. This obligation survives termination for 2 years.

7. Account Access & Security

To manage your Etsy or Shopify shop, you may need to grant us staff access or share login credentials. We treat this access with the highest level of security and confidentiality. We recommend using platform staff accounts where available rather than sharing primary login details. We will never share your credentials with third parties or use your accounts for any purpose beyond delivering the agreed services.

8. Disclaimers & Limitation of Liability

We provide services and platforms with reasonable skill and care. However, we cannot guarantee specific sales outcomes, Etsy or Shopify search rankings, investment returns, or revenue targets — these depend on many factors outside our control including platform algorithm changes, market conditions, and user behaviour.

8DInvest specifically: All content on 8DInvest is for informational and educational purposes only and does not constitute financial advice. Past performance of any asset or simulation does not guarantee future results. You are solely responsible for any investment decisions you make.

To the fullest extent permitted by Ontario law, AR Design Tech's total liability for any claim shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

9. Termination

• Monthly plans: Either party may cancel with 30 days written notice. You remain responsible for fees up to the cancellation date.
• Immediate termination: We may terminate immediately for non-payment or material breach of these Terms.
• Upon termination: We will return access to all your accounts and provide any work product for which full payment has been received.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario. We encourage informal resolution first — please contact us before initiating any legal proceeding.

11. Changes to These Terms

We may update these Terms periodically. Existing clients will be notified of material changes by email. Continued use of our services after notice constitutes acceptance of the revised Terms.
